Step 1: Negotiation The parties shall first attempt to resolve the dispute amicably through good faith negotiations within 30 days of written notification of the dispute.

Step 2: Mediation If negotiation fails, the parties shall attempt to resolve the dispute through mediation under the rules of the Chartered Institute of Arbitrators (Kenya Branch) or any other mutually agreed mediation provider.

Step 3: Arbitration If mediation fails, the dispute shall be finally resolved by arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 (as amended). The arbitration shall be conducted by a single arbitrator appointed in accordance with the said Act. The language of arbitration shall be English. The award of the arbitrator shall be final and binding on both parties.

Step 4: Courts Nothing in this section shall prevent either party from seeking urgent interim relief from the Kenyan courts to preserve rights, prevent irreparable harm, or maintain the status quo pending arbitration.

12.3 Jurisdiction

Subject to the dispute resolution provisions above, you agree to submit to the exclusive jurisdiction of the courts of Kenya located in Nairobi for the resolution of any disputes not resolved through arbitration.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of Joweri.
